Tata Sons Backs Chandrasekaran Term After Noel Tata Objected

MUMBAI — Tata Sons has formally rejected objections raised by Noel Tata regarding the reappointment of N Chandrasekaran as chairman.
The holding firm supported its move using formal legal opinions from three top legal experts. The board confirmed the reappointment during a scheduled meeting held on Sept 17. Tata, Sons stated.
that the decision complied fully with its Articles of Association. The company affirmed that the board passed the resolution by a valid majority.
The company sought guidance from several senior legal figures in India. Former Chief Justice of India Uday Lalit reviewed the matter. Former Supreme Court judge B N Srikrishna also provided a detailed legal opinion.

Senior advocate Sudipto Sarkar acted as the third expert backing the company position.
Together, the three legal authorities examined the rules governing the leadership vote. They determined that the Sept 17 board resolution followed proper company law standards. Their legal findings affirmed that the board held full authority to approve the reappointment.
The internal dispute emerged after Noel Tata sent a formal letter on Sept 18. His communication objected directly to the conduct of the Sept 17 board meeting. Noel Tata argued that Tata Sons bypassed Article 118 and Article 121 during the reappointment.
Article 118 sets out specific procedures for appointing a chairman. The article mandates the creation of a five-member selection committee. Under those rules, Tata Trusts nominates three of the five committee members.
Noel Tata asserted that the company ignored this required selection committee process.

Tata Sons company secretary Suprakash Mukhopadhyay issued a formal reply on Thursday. The response directly answered the issues Noel Tata raised in his Sept 18 letter.
Mukhopadhyay stated that Article 118 did not apply to this leadership decision. He explained that the provision governs only the appointment of a new chairman. Because the board was reappointing a sitting leader, the committee requirement did not take effect.
Tata Sons reiterated that the majority vote settled the matter. The management confirmed that the decision complied with every internal governance requirement. With legal backing secured, Tata Sons reaffirmed that Chandrasekaran remains validly reappointed as chairman.
