NSE IPO: Existing Shareholders Retain Majority Stake Despite Selling Shares in Offer-for-Sale

National Stock Exchange of India (NSE) has completed its Rs 22,569-crore initial public offering (IPO). This marked a significant milestone in the exchange's journey towards becoming a publicly traded entity. With most existing shareholders retaining a substantial part of their stakes despite selling shares through the offer-for-sale (OFS) portion.
The IPO has been well-received by investors.
Of the 20 institutional investors that participated in the OFS. Nine were foreign institutional investors, collectively owning 15.96 per cent of NSE before the IPO. These investors offered shares equivalent to a 5.11 per cent stake in the exchange through the OFS.

The OFS was initially proposed to cover 14.9 crore shares but was later cut to 12.64 crore shares. Reducing the overall issue size from the initial estimate of around Rs 30,000 crore.
Aranda Investments, Stock Holding Corporation of India, SBI Capital Markets, and ChrysCapital each cut their holdings by only around 7 per cent on average. Meanwhile, Crown Capital sold around 11 per cent of its stake held before the OFS. Meanwhile, TA Asia Pacific reduced its holding by approximately 6 per cent.
India's latest initial public offering (IPO) achieved remarkable success on its second day of bidding. Surpassing Hyundai Motor India's 2024 debut to become the country's second-largest public issue. Strong demand from individual investors and qualified institutional buyers drove a significant portion of subscriptions on Friday.

The NSE shares are expected to be listed on September 24. The IPO is scheduled to close on September 21, with NSE shares expected to be listed on September 24. This development comes as ICICI Lombard General Insurance and Life Insurance Corporation of India are among the top shareholders of NSE.

The share-sale pattern suggests that the OFS has enabled existing investors to realise part of their investments while allowing them to retain substantial ownership in NSE.
