San Francisco-based AI pioneer Anthropic is poised to shatter records with its highly anticipated IPO. Which could potentially surpass $2 trillion in valuation, making it the largest in history.
The prospectus, recently reviewed by Reuters, reveals a stark contrast between the risks and rewards, with a staggering 32% of its pages devoted to cautionary notes, dwarfing the 17% allocated to a concise overview of the company's mission and objectives.

"AI is a departure from technology before it because the companies building it say it's world-changing while simultaneously saying it's dangerous," said Margaret O'Mara, a University of Washington history professor focused on the tech economy. "It's just a bit of a black box, whereas the companies going public in the dotcom boom could promise big, safe growth."
Anthropic's AI can "dramatically improve quality of life" and "transform every sector of the global economy," with "potentially decisive influence over a broad range of human undertakings." However, advanced systems could also "pose catastrophic or existential risks to humanity" if not properly applied.
The company's seven founders would oversee the business, but the governance structure could limit investor oversight and public shareholders' influence, resulting in decisions "that may conflict with short-, medium-, or long-term financial interests and business performance."
Anthropic relies heavily on Amazon, Alphabet's Google, Broadcom and Microsoft, with sales through big tech partners accounting for 47% of its 2025 revenue. This reliance raises concerns about the company's ability to compete with its partners or access computing resources.

CEO Dario Amodei acknowledged the challenge, saying "We must put aside those differences in order to confront this global opportunity and global threat that is being presented to us at the same time."
"AI deployed at scale also has the potential to concentrate power and wealth in ways that could harm society and destabilize the geopolitical order," the company warns.
